Can I upgrade to windows 8 from Windows 7 Ultimate? I've tried to install it and gave me an error saying. "You can't upgrade from windows 7 Ultimate". I don't want to do a "Clean" install and loose my files. Is there a way? Please advise.

I'd recommend that you have a backup of your files anyway, not the best option to store everything on the C Drive.
I personally think a clean install is the only way to go, but that's just me!!! :)
