The 64 bit upgrade will work, you will just not be able to perform an in-place upgrade (ie you will have to boot from the DVD and perform a clean install). I think this is where the confusion comes from. However, you should be able (hopefully) to install the upgrade onto a separate partition, upgrade discs merely require you to prove your ownership of the previous version to justify the low price.
